AFFILIATE AGREEMENT AND CONDITIONS

| Enrollment |
To join our Affiliate Program, you must submit a completed application via our site.
We’ll evaluate your application and your website to determine your acceptance or rejection.
We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the program.
Unsuitable sites or situations include: violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or violates intellectual property rights, illegal activities and child pornography. We may refuse you affiliation or strip you of affiliation if any of the above are posted on your website as it is in violation of our terms of agreement.
You must be of legal age to join and promote our site.

If we notify you that your application is accepted, you will receive a link to our referral program site.
Inside you will find variety of banners and information how to enhance your sales, reporting, and stats.
You may link to our site with banners, text links, or directly to one or more of our products. You will get pay only if you will include your UNIQUE ID NUMBER with your link. Our product and products prices change from time to time, therefore we suggest that you do not include prices of any product on the pages within your site. If you DO include pricing on your own html pages and we receive price match calls, we will not be able to match the price nor control your use of the site.
Your failure to follow these guidelines will result in the termination of your participation in our program.
We reserve the right to terminate any account at any time for any reason without notice.

| Order Processing |
|
Once the customer places an order we will process the order generated from a link on your site and we reserve the right to reject orders that do not comply with any requirements that we periodically may establish.
We will be solely responsible for all aspects of order processing and fulfillment, including payment processing, shipping, cancellations, returns and related customer service issues.
Any charge backs, returns or credits will be applied to your account appropriately. |

| Referral Fees & Schedule |
Commissions do not include costs for shipping, handling and taxes. Checks will be mailed by the 10th of each month for the previous months. There is a $100.00 minimum account balance before a check will be issue. Any amount under $100.00 will be rolled over to the next month. All funds are paid by check (U.S. currency).
We will track sales made to customers who purchase products using your UNIQUE ID CODE and will make available to your comprehensive statistics for sales activity and visitors. |

| Policies and Modifications |
We may change our policies or pricing at any time in our sole discretion. We may also change product prices and availability therefore does not publish any pricing of our products on your site.
We reserve the right to modify any of the terms and conditions contained in this agreement at any time and in our sole discretion.
IF ANY MODIFICATIONS ARE UNACCEPTABLE TO YOU, THEN YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. BY CONTINUING TO PARTICIPATE IN THE AFFILIATE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR A NEW AGREEMENT, YOU ARE ACCEPTING AND AGREEING TO THE CHANGE.

| Relationship of Parties |

You and we are independent contractors. You will not post or suggest otherwise.
Nothing in this agreement creates any partnership, joint venture, agency, franchise, employment relationship or sales representative.
You do not have authority to make or accept any offers on our behalf.

| Acceptance |
We make no representation that the operation of our site will be uninterrupted or error-free and we will not be liable for the consequences of any interruptions, errors or loss of data.
We will not be liable for any direct or indirect loss of revenue, profits, or data arising in connection with this Affiliate Program.
Upon termination of this Agreement you shall be entitled to all unpaid commissions earned prior to the date and hour of termination.
The laws of the United States and the state of California will govern this agreement. All disputes under this agreement shall be brought in Los Angeles County, California. |
